Terms of Service

CoinCircle is a peer-to-peer marketplace and trader directory. We provide a platform where independent individuals can discover each other, browse listings, and connect to arrange cryptocurrency trades directly between themselves.

CoinCircle is not a cryptocurrency exchange, broker, financial institution, money services business, or custodian. We do not execute trades, match orders, hold funds, transmit money, or take custody of cryptocurrency or fiat currency on behalf of any user. All transactions occur directly between traders outside of the Platform.

CoinCircle membership fees are charged for access to the Platform's directory and communication tools — not for any financial service, investment advice, or trade facilitation.

You must be at least 18 years of age to use CoinCircle. By using the Platform, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding agreement.
• You are not located in a jurisdiction where use of this Platform is prohibited by applicable law.
• You are not on any government sanctions list or prohibited persons list.
• Your use of the Platform complies with all laws applicable to you in your jurisdiction.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@coincircle.app if you become aware of any unauthorised use of your account.

CoinCircle offers free and paid membership tiers. Free accounts may browse public listings. Paid membership unlocks full access to trader contact details, deal-room messaging, and other premium features.

Membership fees are charged in advance for the selected billing period (monthly or annual). Fees are non-refundable except where required by applicable law or at our sole discretion in exceptional circumstances. We reserve the right to modify membership fees with reasonable notice.

Payment may be made via supported payment methods including cryptocurrency (USDT on BSC network) and UPI (India). All payment processing is subject to the terms of the relevant payment provider.

By using CoinCircle, you agree that you will:

• Only post listings for trades you genuinely intend to complete.
• Provide accurate information in your listings and merchant profile.
• Conduct all trades in compliance with applicable laws in your jurisdiction.
• Not use the Platform to engage in fraud, scams, or deceptive practices.
• Not use the Platform to launder money, finance terrorism, or circumvent sanctions.
• Not impersonate any person or entity or misrepresent your identity or affiliation.
• Not use the Platform to harass, threaten, or harm other users.
• Not attempt to bypass, disable, or circumvent any security or access control feature of the Platform.
• Not use automated tools, bots, or scrapers to access or extract data from the Platform without our written consent.

We reserve the right to suspend or terminate any account that violates these rules, at our sole discretion, without prior notice.

CoinCircle offers optional identity verification and merchant approval programmes. These are trust signals designed to help users make informed decisions — they do not constitute an endorsement, guarantee, or warranty of any trader's conduct, solvency, or reliability.

Verification badges, ratings, and trust scores are provided for informational purposes only. CoinCircle does not verify the accuracy of all information provided by traders and is not responsible for any trader's representations or conduct.

Nothing on CoinCircle constitutes financial, investment, legal, or tax advice. Cryptocurrency markets are highly volatile. You acknowledge that you are solely responsible for your own trading decisions and that you may lose money. You should seek independent professional advice before making any financial decisions.

You retain ownership of content you submit to the Platform. By submitting content, you grant CoinCircle a worldwide, royalty-free, non-exclusive licence to use, display, and distribute that content solely for the purpose of operating the Platform.

You are solely responsible for the content you post. You warrant that your content does not violate any applicable law, infringe any third-party rights, or violate these Terms.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

CoinCircle may require identity verification (KYC) for certain features. You consent to the collection and processing of identity documents for this purpose. KYC data is reviewed by CoinCircle staff and is not shared with third parties except as required by law.

The Platform must not be used by persons located in, or operating on behalf of persons in, any jurisdiction where use of peer-to-peer cryptocurrency marketplaces is prohibited or requires a licence that CoinCircle does not hold.

Without limiting the foregoing, residents of jurisdictions subject to comprehensive sanctions by the United Nations, United States OFAC, European Union, or United Kingdom OFSI are prohibited from using the Platform.

We strive to keep CoinCircle available at all times but do not guarantee uninterrupted access. We may suspend, modify, or discontinue any part of the Platform at any time without notice. We are not liable for any loss arising from unavailability of the Platform.

To the fullest extent permitted by applicable law, CoinCircle and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of funds arising from your use of the Platform or any trade conducted through connections made on the Platform.

CoinCircle's total aggregate liability to you for any claim shall not exceed the amount you paid to CoinCircle in the three (3) months preceding the event giving rise to the claim.

CoinCircle is a marketplace platform. We are not a party to any trade between users. We are not responsible for the conduct of any trader, the outcome of any trade, or any loss of funds in connection with any transaction arranged through the Platform.

You agree to indemnify, defend, and hold harmless CoinCircle and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

All content, features, and functionality of the Platform — including the name "CoinCircle", the logo, design, text, graphics, and software — are owned by or licenced to CoinCircle and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

We may suspend or terminate your access to the Platform at any time, for any reason, with or without notice. You may close your account at any time by contacting us at support@coincircle.app. Upon termination, your right to use the Platform ceases immediately.

These Terms are governed by the laws of the Republic of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved through good-faith negotiation shall be finally settled by binding arbitration under the UNCITRAL Arbitration Rules, conducted in English. The seat of arbitration shall be New Delhi, India. The arbitral award shall be final and binding on the parties.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-app notification. Your continued use of the Platform after such notification constitutes your acceptance of the revised Terms.
